Tezhi Ling is a partner of Jingtian & Gongcheng.  Mr. Ling joined Jingtian & Gongcheng in 2007.  Prior to joining the Firm, he worked at Commerce & Finance Law Offices for several years. 

Mr. Ling specializes in onshore or offshore stock offering and listing, private equity financing, reorganization, mergers and acquisitions and other corporate matters.  He has provided a wide range of legal services to clients in different industries such as high technology, mineral resources, logistics, real estate, papermaking, pharmaceutical industry, heavy industry, telecommunication and chemical industry.

Mr. Ling has assisted many companies in their issuance of A Shares, H shares, red-chip shares, REIT or debt financing instruments.

He has also provided general legal services for reorganization, mergers and acquisitions, private equity financing and other investment and financing transactions of many domestic and foreign enterprises.

Mr. Ling obtained the PRC lawyer's qualification certificate.  He is fluent in both Mandarin and English.

In relation to offering and listing of shares, Mr. Ling has provided legal services to more than 20 enterprises for overseas offering and listing of H shares and A shares, and shares under red chips structure.

Regarding bond issuance and listing, Mr. Ling has advised on the issuance and listing of domestic and foreign bonds, preferred shares, perpetual bonds and other bond products of dozens of enterprises.

With respect to PE and M&A, Mr. Ling has represented domestic and foreign companies in restructuring, mergers and acquisitions, and private equity investment in the PRC, advising on all aspects of such transactions, from initial investment right through to exit, including conducting due diligence, structuring, business negotiations, drafting of transaction documents, and rendering legal opinions.
