Justin Ma is a Partner of Jingtian & Gongcheng LLP. Prior to joining our firm, he worked at a number of international law firms including DLA Piper and Kirkland & Ellis.  

Justin is admitted as solicitor in both Hong Kong and Australia.  He has acted for many major investment banks and corporations in corporate finance transactions including Hong Kong initial public offerings, spin-offs, mergers and acquisitions and other listed company compliance matters.

He holds a Master of Law from the Renmin University of China and a Bachelor of Laws and Bachelor of Commerce (Accounting) from Monash University. He is fluent in Mandarin, English, and Cantonese.

Advising Air China Limited in the HKD 39 billion recapitalization plan by Cathay Pacific Airways Limited.

Advising The Carlyle Group, CITIC Limited and CITIC Capital Holdings in the USD 2.08 billion acquisition of the operations of one of the largest U.S. fast food restaurant chains in China and Hong Kong and negotiation of a 20-year master franchise agreement.

Advising a subsidiary of Hong Kong-listed China Foods Limited and a subsidiary of state-owned COFCO Corporation in its acquisition of equity interests in the bottling operations from Swire Beverages Holdings Limited and from one of the largest US non-alcoholic beverage manufacturers, and in its sale through auction of its equity interests in the bottling operations in China.

Advising CICC, Deutsche Bank and Citigroup, as joint global coordinators and joint bookrunners, on the USD 149 million initial public offering and listing on the Hong Kong Stock Exchange of Inke Limited, the largest mobile live streaming platform in China in terms of average monthly active streamers in 2017.

Advising Morgan Stanley, JP Morgan, Huatai Financial Holdings (Hong Kong) Limited and UBS, as joint global coordinators and joint bookrunners, on the USD 376 million initial public offering and listing on the Hong Kong Stock Exchange of Wise Talent Information Technology Co., Ltd., the largest online talent acquisition services platform in China which operates Liepin.com

Advising Medialink Group on its HKD 186 million initial public offering on the Main Board of the Hong Kong Stock Exchange. Guotai Junan Capital acted as the sole sponsor and global coordinator in the offering. Medialink Group is a leading, Hong Kong-based distributor of third-party owned media content headquartered in Hong Kong with a presence in the PRC, Singapore, Malaysia, Taiwan, Indonesia and Japan.

Advising AAG Energy Holdings Limited on the USD 3.1 billion conditional voluntary partial cash offer by Liming Holding Limited, a wholly owned subsidiary of Xinjiang Xintai Natural Gas Co., Ltd.

Advising Hydoo International Holding Limited on the USD 154 million mandatory general offer by China Guangdong – Hong Kong Greater Bay Area Holdings Limited.

Advising Qualcomm Asia Pacific Pte. Ltd., a wholly-owned subsidiary of Qualcomm Incorporated, as a cornerstone investor, on its USD 100 million investment in the IPO of Xiaomi Corporation.

Advising AIHC Master Funds on its cornerstone investments in Peijia Medical Limited and Akeso, Inc., both of which are biotech companies listed under Chapter 18A of the Hong Kong Stock Exchange Listing Rules. 

Advising MicroPort Scientific Corporation on its USD 190 million acquisition of the Cardiac Rhythm Management business of NASDAQ-listed LivaNova PLC.

Advising Alibaba Health Information Technology Limited on its USD 227 million issuance of new shares to a wholly-owned subsidiary of Alibaba Holding.

Advising Hong Kong International Construction Investment Management Group Co.  Limited, a subsidiary of the HNA Group, in the HKD 728 million subscription in an investment fund and the transfer of the land parcel in East Kowloon from a subsidiary of the HNA Group to the investment fund.

Advising SMIT Holdings Limited, a leading security devices provider for pay TV broadcasting access worldwide and for mobile point-of-sale payment systems in China, on its USD 36 million initial public offering and listing on the Hong Kong Stock Exchange. Haitong International Capital Limited was the sole sponsor and Haitong International Securities Company Limited was the sole global coordinator and sole bookrunner.

Advising Wenzhou Kangning Hospital Co., Ltd., the largest private psychiatric healthcare group in China as measured by revenue in 2014, on its USD 101 million initial public offering on the Hong Kong Stock Exchange. Citigroup Global Markets Asia Limited and CITIC CLSA Capital Markets Limited are joint global coordinators on the IPO.
