日前,汤森路透旗下的《亚洲法律杂志》(Asian Legal Business,简称“ALB”)发布“2020 ALB China 十五佳律师新星”评选榜单,竞天公诚合伙人舒文律师凭借卓越的市场表现和良好的口碑光荣入选。

舒文律师先后毕业于上海对外经贸大学国际法系和美国西北大学法学院(荣誉毕业生),取得中美两地的法学硕士学位。

 

舒律师于2017年加入竞天公诚,成为合伙人。舒律师具有超过12年的执业经验。在加入竞天公诚之前,舒律师曾在两家知名的国际律师事务所工作。

 

舒律师的主要业务领域包括跨境以及境内复杂的房地产收购、融资、退出、大型租约的谈判,以及房地产基金的设立。舒律师的其他业务领域也包括企业兼并、收购和私募融资、外商投资、一般公司业务及海外投资。

 

在房地产领域,舒律师曾为多家国际知名的房地产基金在华进行房地产收购和融资提供法律服务。舒律师曾经服务过的以及目前正在服务的代表性客户包括:Apollo Real Estate Asia、太保资产管理公司、德意志银行、普洛斯、凯德置地等。

 

舒律师拥有中国律师执照,并且通过美国纽约州律师资格考试。

 

舒律师的工作语言是中文和英文。

《亚洲法律杂志》:

 

近年来,房地产并购项目体现出哪些特点?这样的特点呈现出怎样的发展趋势?对您的工作带来了怎样的影响?

 

舒文律师:

 

由于市场融资方式的不断创新和多样化,近年来的跨境房地产并购项目呈现出日趋复杂的交易架构和交易模式。纯粹的单一项目并购越来越少。同时,在交易架构上,横向及纵向维度上都展现出一定的复杂性。比如,横向上往往会牵涉到须和并购同时或几乎同时进行的境内外的并购贷款和/或底层资产置换贷款,而纵向上可能会涉及私募基金持有人或信托专项计划。因此,单纯的房地产律师或是并购律师以其传统的知识结构和专业能力往往无法理想地满足客户在项目过程中的各类要求。 

 

这里,我需要特别感谢竞天公诚这个专业、多元的大家庭。在我过去一年经办的一些重要项目中,无论遇到什么专业领域的疑难杂症,总可以找到所内相应领域(包括银行融资、基金资管、争议解决、刑事合规、劳动人事等方面)的专家答疑解惑,向客户提供及时、高效、优质的法律意见。在过往一年中,也正因为我们这种跨领域、全方位的团队合作,使我们在复杂的跨境房地产并购项目中不断提升自己的服务品质,也不断得到客户的认可。

在交易项目遇到阻碍甚至陷入僵局时,您会如何推动项目进展、促成交易的实现?可否分享一个案例进行说明?

 

舒文律师:

 

虽然出于项目的保密性,这里不便透露具体案例情况,但作为一个商业交易律师,我觉得非常重要的一点是要在法律风险和商业利益之间努力寻求一个适当的平衡。 

 

一方面,我们必须谙熟法律法规,在此基础上充分为客户提示法律风险。但是,一味死守法条,为每个风险“打补丁”、“尽善尽美”地为客户争取每一个法律点上的“纸面利益” 也未必是明智之举。如果在项目谈判中遭遇阻碍或者陷入僵局(特别是那些相对方具有很强谈判实力,竞争激烈的项目),律师明哲保身、锱铢必较的态度不仅不利于项目的推进,在我看来也并非负责任的表现。 

 

作为一个合格的商业交易律师,不仅要为客户充分提示法律风险,也需要充分倾听客户商业诉求、尽力为客户降低乃至消除风险;更需要在合法合规的前提下,用创造性思维为客户提出切实可行的解决问题的方案。 

 

这所有的一切都有赖于商业交易律师对本行业市场惯例以及行业特点的熟稔,从而得以在此基础上进行准确判断和精准拿捏。

未来三到五年,您在工作上有着怎样的展望?

 

舒文律师:

 

个人而言,我希望在未来几年能够服务更多具有国际性影响力的房地产(特别是PERE领域)客户,协助竞天公诚和房地产业务部领导进一步扩大竞天公诚在跨境房地产交易方面的影响力。 

 

我也很感谢爱人为家庭付出了很多,希望今后几年中可以更好地平衡工作和生活。

 

Interview with Tony Shu, Partner of Jingtian & Gongcheng:Seeking the balance between legal risks and business interests

 

ALB: 

 

What are the characteristics of real estate M&A projects in recent years? What kind of development trend do these characteristics present? How does it affect your work? 

 

Shu Wen (Shu):

 

Because of the innovation and diversification of the financing approaches in the market, cross-border real estate M&A projects in recent years are featured increasingly complex transaction structures and transaction models. There are fewer pure single-project M&A. And the transaction structures show certain complexity in both horizontal and vertical dimensions. Therefore, lawyers who are only specialized in real estate matters or M&A matters, with their conventional knowledge structure and professional capabilities, often cannot ideally meet the various requirements of clients in the real estate M&A project process. 

 

I want to thank Jingtian & Gongcheng, a firm of professionalism and diversity. In some important projects that I handled last year, I can always find experts in the corresponding fields to answer my questions and to help me to provide timely, efficient and high-quality legal advice to clients. In the past year, because of our cross-disciplinary and all-round teamwork, we have continuously improved our service quality in complex cross-border real estate M&A projects, and have been widely recognized by our clients.

 

ALB: 

 

When a transaction project encounters obstacles or even reaches a stalemate, how will you push the project forward to close the deal? Would you like to share with us a case? 

 

Shu:

 

I would say that, as a business lawyer, seeking the balance between legal risks and business interests is very important. 

 

On one hand, we must be very familiar with laws and regulations; and on this basis, we should advise clients of the legal risks fully. When encountering obstacles or even reaching a stalemate in the project negotiations (especially those projects involving fierce competition, where the counterparties have strong negotiation strengths), if a lawyer acts overly prudently, or haggles over every penny, it is in fact not conducive to the progress of the project, which, in my opinion, is not the attitude of a lawyer with the sense of responsibility. 

 

We not only need to advise our clients of the legal risks fully, but also fully listen to the clients’ business demands, try our best to reduce or eliminate risks for the clients; moreover, we need to use creative thinking to provide clients with practical and feasible solutions under the premise of legal compliance. 

 

All this depends on how well a business lawyer knows about the market standard and the characteristics of the industry, so as to make accurate judgments and handle the relevant issues accurately.

 

ALB: 

 

What is your vision for your career development for the next three to five years? 

 

Shu:

 

Personally, I hope that, in the next few year, I could serve more real estate clients with international influence, especially those in the PERE field, and assist the firm and our real estate department leaders to further expand Jingtian & Gongcheng’s influence in cross-border real estate transactions. 

 

I am also very thankful for my wife and all that she does for the family. I hope that in the next few years, I can achieve a better work life balance.
