Ms. Siyuan Liu is a partner at Jingtian & Gongcheng and specializes in security compliance, securities litigation, administrative investigation, as well as commercial litigation and arbitration.
 
Ms. Liu’s team offers comprehensive legal services at every stage of securities compliance, from the upstream of establishing compliance systems and conducting compliance evaluation, to the downstream of representing securities-fraud civil litigation, administrative investigation and enforcement, as well as criminal defense. During her practice, Ms. Liu has represented various milestone cases, including without limitation: CITIC Securities's escape from criminal liabilities in relation to its involvement in CITADEL's securities margin trading; Everbright Securities's fat finger case addressing insider trading; Kangdexin’s financial fraud administrative, civil, and criminal litigation; one of the big four accounting firm's securities fraud litigation concerning due diligence; Major shareholder of Hengkang medical Group’s manipulation of securities market case; Luckin Coffee’s securities-fraud litigation; Leshi’s sponsor in non-public offering in its securities fraud litigation, etc.
 
In addition, Ms. Liu demonstrates expertise in navigating complex corporate disputes, including corporate control, valuation adjustment mechanisms (VAM), and other investment-related litigation. With sharp acumen in the nuanced needs of the client and unparalleled insight of regulatory compliance realm, she is able to craft overall strategies to advance the commercial objectives for the client.
 
Ms. Liu is actively involved in legislation and academic events. She serves as director of the Case Law Board of China Law Society; as director of Beijing Law Society Economic Law; as member of the law amendment workgroup organized by the Ministry of Finance of PRC concerning the amendment of the Law on Certified Public Accountants; as mediator in an investor protection institution; as columnist for Caixin. Also, she has provided professional advice on the promulgation and amendment of multiple laws, judicial interpretations, and CSRC regulations. Besides, she is the co-author of The Baseline of Behaviors in Capital Markets and the China Chapter of The Securities Litigation Review. She has contributed to the textbook of securities law "Case Studies in Securities Law". She has published various treatises in Financial Services Law Review, China Case Law Review, Tsinghua Financial Law Review, etc. Ms. Liu is also devoted to legal education and pro bono programs. She has delivered over a hundred lectures and speeches for law students at prestigious academic institutions such as School of Law of Tsinghua University, Peking University, Peking University School of Transnational Law, China University of Political Science and Law, and Central University of Finance and Economics. Moreover, her educational outreach extends to hundreds of listed companies and state-owned enterprise.

Representing Kangdexin in Administrative Investigation, Securities Fraud Civil and Criminal Litigation. It is the first of 20 typical cases in 2020 published by the CSRC.

Representing Shanghai DZH Limited in its 320 Million Recourse Action. It is the pioneer special shareholder derivative lawsuit and successful settlement is reached. 

Representing CITIC Securities in CITADEL's securities margin trading. It is the largest proposed monetary penalty on securities companies and the case was ultimately closed without any monetary penalty.  

Representing Everbright Securities in Fat Finger Case Addressing Insider Trading. It is the first insider trading resulting in disgorgement of gross trading profits and five times penalties in recent years. 

Representing Shenzhen Datong in Sanction of Refusal to Cooperate with the CSRC Investigation. It is the first case concerning violent refusal to cooperate in the CSRC investigation.

Handling of Illegal Securities Business Case of Cosun Group Debt and Related Party. It is the first case in over-the-counter fourth market subject to penalties imposed by the CSRC.  

Representing Hengkang Medical in Market Manipulation Case. It is the first market manipulation case by means of controlling information disclosure.
