Stella Yeung is a Partner of Jingtian & Gongcheng LLP. Stella’s main practice areas include corporate finance, mergers and acquisitions, general corporate transactions. Prior to joining the firm, Stella worked in a wall street U.S. law firm and other financial institutions. She also gained regulatory experience in the Listing Division of the Hong Kong Stock Exchange, while she participated in the vetting of HKIPO listing applications and the formulation of listing policies in Hong Kong. Having more than 20 years of extensive experience in capital markets, Stella practiced in a diversified field and is particularly strong in the healthcare, biotech, and technology sectors. Stella was nominated as a finalist for Women Lawyer of the Year in 2023 by ALB Hong Kong Law Awards.
Stella has handled a number of Hong Kong IPO projects, including Shanghai Voicecomm Information Technology Co., Ltd., GL-Carlink Technology Holding Limited, Xuan Wu Cloud Technology Holdings Limited, Helens International Holdings Company Limited, KRP Development Holdings Limited, Readboy Education Holding Company Limited, Desun Real Estate Investment Services Group Co., Ltd., CGN Power Co., Ltd., Wenzhou Kangning Hospital Co., Ltd., Hua Medicine, Wuxi Apptec Co., Ltd., Tianjin Tianbao Energy Co., Ltd., Tianli Education International Holdings Limited, VPower Group International Holdings Limited and Dali Foods Group Company Limited, etc.
Stella has also provided annual compliance services to numerous Hong Kong listed companies. Stella is capable of working on complex transactions. She represented Geely Automobile to advise on compliance issues relating to the Hong Kong listing rules regarding the listing of Zeekr’s American Depositary Shares on the New York Stock Exchange following the spin-off of Zeekr from Geely Automobile. Stella also advised HNA Trust Management Co., Ltd. on the change in control of two HK listed companies triggered by a court-directed plan of restructuring. In addition, Stella represented AviChina Industry & Technology Company Limited on its share swap to absorb AVIC Electromechanical (this transaction was awarded the Outstanding Transaction Award 2022 by China Business Law Journal). Stella represented Shandong Gold Mining Co., Ltd. on the acquisition of Yintai Gold Co., Ltd. (this transaction was awarded the Outstanding Transaction Award 2023 by China Business Law Journal).

• Represented Voicecomm Technology Co., Ltd., an IT solution provider in China, on the initial public offering of shares on the Main Board of the Hong Kong Stock Exchange.
• Represented Helens International Holdings Company Limited on the initial public offering of shares on the Main Board of the Hong Kong Stock Exchange.
• Represented CEB International Capital Corporation Limited as the sponsor and other underwriters in Beijing Saimo Technology Co., Ltd., a company focusing on intelligent connected vehicle (ICV) simulation testing technologies, on the initial public offering of shares on the Main Board of the Hong Kong Stock Exchange.
• Represented Huatai Financial Holdings (Hong Kong) Limited as the sponsor and other underwriters in New Gonow Recreational Vehicles Inc. on the initial public offering of shares on the Main Board of the Hong Kong Stock Exchange.
• Represented Pizu Group Holdings Limited for its application to the Stock Exchange the transfer of listing from GEM to the Main Board of the Stock Exchange pursuant to Chapter 9B of the Main Board Listing Rules. It was the first successful transfer of listing since the amendment of Listing Rules effective from December 2023.

This was one of the first large-scale H share privatisations that was successfully completed following the changes to the Hong Kong Takeovers Code introduced in 2018.
• Acted for A+H dually listed company China International Marine Containers (Group) Co., Ltd. (stock code: 2039) in the conditional cash offer of CIMC Vehicle (Group) Co., Ltd. (stock code: 1839) to buy-back of H shares with an offer of approximately HK$1.1 billion and the proposed voluntary withdrawal of listing of the H shares of CIMC Vehicle from the Hong Kong Stock Exchange.
• Acted for the joint offerors in the privatisation of CIMC-TianDa Holdings Company Limited (stock code: 0445) by way of a scheme of arrangement, with total consideration of approximately HK$1 billion.
• Acted for the offeror in the HK$530 million privatization of Golden Throat Holdings Group Company Limited (stock code: 6896) through a scheme of arrangement.

• Acted for the controlling shareholder of China Shengmu Orgnaic Milk Limited (stock code: 1432) on the disposal of 19% shares in the listed company at the consideration of HK$2.6 billion.
