US Investments Made Simple Summit drew to a successful conclusion on Oct. 19th, 2016.

 

Co-hosted by Jingtian & Gongcheng and Mayer Brown JSM, the event was attended and addressed by Dr. Long Yongtu, former Vice Minister of MOFTEC and former Secretary-General of Boao Forum for Asia. Featuring over 20 top lawyers from China and the US, who had in-depth discussions on topics related to M&A in the US market, the meeting met with warm responses from participating institutional investors interested in investing in the US.

 

Chinese companies’ M&A deals overseas have spurted in recent years. The US market, due to its openness and unique position in the global economy, has become a hot destination for China’s overseas M&A and outbound investment. Over the past few years, China’s ODI in the US surged, forging another beneficial economic bond between China the US aside from the huge bilateral trade.

 

That being said, Chinese capital still faces multiple challenges in the US such as the two countries’ different legal systems, divergent perceptions of target markets and opportunities, shifty political dynamics and information asymmetry, resulting in the abortion of several big deals. Against such a backdrop, Chinese investors urgently need professional assistance in their deal-making in the US.

 

At the forum, partners from the two law firms shared authoritative and detailed recommendations that address Chinese investors’ biggest concerns, including the process of M&A in the US, listed companies vs. private companies in acquisition, the focus and procedure of CIFIUS review, the application of US antitrust laws and Foreign Corrupt Practices Act to foreign investment, how to deal with the US Securities and Exchange Commission, and the best response to US litigation, etc.

 

For the three sectors most sought after by Chinese investors in the US, namely, real estate, pharmaceuticals and healthcare, and TMT (telecommunications, media and technology), the forum arranged three breakout sessions where sectoral M&A lawyers offered experience and tips regarding, among others, US tax system in real estate M&A deals; IP due diligence, communications regulation and compliance in TMT deals; and regulation and compliance procedures for the healthcare sector.
